The RewardTV Rewards Program (the "Program") is open to members of RewardTV (click here for registration details) (each, a "Member") and is subject to the following Rewards Program Rules. You must be at least 13 years of age and a legal resident of the United States to become a Member of RewardTV. Employees, officers and directors of RewardTV, Inc., its respective parents, affiliates, subsidiaries, advertising, promotional, fulfillment and marketing agencies, their immediate families (parent, child, sibling and spouse) and persons living in the same households as such individuals (whether related or not) are not eligible to participate in the Program.

By accessing and using the RewardTV site (the "Site"), or by becoming a Member, you are entering into a legal agreement with RewardTV to abide by the Reward Program Rules, the Member Agreement and the Privacy Policy. If you do not wish to be bound by the Reward Program Rules, the Member Agreement and the Privacy Policy, please do not register as a Member and exit the Site now.

RewardTV may, in its sole discretion and upon notice to you, modify, restrict, change, or otherwise alter the Reward Program Rules, the Member Agreement or the Privacy Policy, in whole or in part, impose limits on certain features, promotions or services or restrict your access to part or all of the Site. By continuing to access and use the Site you will be evidencing your consent to, agreement with, and understanding of, such modifications, changes or alterations.

TV Points are the currency of the Program. TV Points are in no way transferable, substitutable for, or convertible into United States dollars, nor into the legal tender or currency of any other nation, state, or political entity. TV Points cannot be combined or used in conjunction with other promotions, coupons, discounts or special offers, except those designated by RewardTV.

TV Points cannot be combined between two or more Accounts.

RewardTV reserves the right in its sole discretion to alter at any given time, and without advance notice, the number of TV Points allocated to any TV Trivia Game, Reward or activity on the Site, or the entire distribution, or system of distribution, of TV Points on the Site.

No TV Points earned or granted in any TV Trivia Game may be assigned or transferred to any third party except as expressly permitted by RewardTV in writing. The sale, barter, assignment or other disposal of any TV Points, other than by RewardTV, is expressly prohibited. Accrued TV Points do not constitute property and are not transferable: (a) upon death; (b) as part of a domestic relations matter; or (c) otherwise by operation of law. Any TV Points assigned, sold, or otherwise transferred without the express written consent of RewardTV are void. Any Member who violates the foregoing restriction is subject to Account termination, forfeiture of TV Points from his or her Account, and/or liability for damages and litigation and transaction costs.

Expired TV Points will be deducted from your Account. No refunds or extensions will be given for TV Points which have expired. Except as listed above, TV Points expire as follows:

• a) TV Points Earned Prior to December 31, 2001: Except as set forth in subsections (c) and (d) below, all TV Points earned prior to December 31, 2001 will expire on December 31, 2002.
• b) TV Points Earned On or After December 31, 2001: Except as set forth in subsections (c) and (d) below, TV Points earned on or after December 31, 2001 expire at the end of the calendar year following the calendar year in which they are earned (e.g. TV Points earned on April 1, 2002 will expire on December 31, 2003).
• c) Inactivity: TV Points in Accounts with no earning or redemption activity for at least six (6) consecutive calendar months will expire at the end of that six-month period.
• d) Special RewardTV Games: Special RewardTV Games on the site may offer TV Points with separate and specific expiration dates that will be explicitly stated in the official rules of such RewardTV Games.

You may only play TV Trivia Games online. Each evening, TV Trivia Games will be posted on the Site for most regularly-scheduled primetime broadcast network television shows and some regularly-scheduled primetime cable network television shows, including TV movies, sporting events, gameshows and other broadcast and cable programs available nationwide (hereinafter the "Primetime Shows"). RewardTV reserves the right to determine in its sole discretion the Primetime Shows, if any, for which TV Trivia Games will be made available. REWARDTV IS NOT RESPONSIBLE FOR CHANGES TO, OR DISCONTINUANCE OR INTERRUPTION OF, ANY NETWORK BROADCASTING SCHEDULE OR PRIMETIME SHOW BROADCAST, WHETHER REGIONAL OR NATIONWIDE.

TV Trivia Games will appear on the Site approximately three to four hours after the end of a Primetime Show's original broadcast in the Eastern Standard Time Zone (EST) and will remain live and playable until midnight of the following day (hereinafter the "Play Period"). For example, if an episode of Friends ends at 8:30:00 PM EST on Thursday, you will have until 11:59:59 PM EST on Friday to play the TV Trivia Game for that episode.

You may play up to five (5) TV Trivia Games for any evening's Primetime Shows. The availability of any TV Trivia Game is subject to the Play Period of that TV Trivia Game.

To play, go to http://www.rewardtv.com and sign in using your email address and password. Click on the "Play" button. Under "Active Shows," click on a Primetime Show which you watched during the preceding 19-27 hours, depending on the time zone in which you reside. Select the Flash or HTML version of that TV Trivia Game. The Flash and HTML versions of any particular TV Trivia Game are identical in content. You can switch between the Flash and HTML versions of a TV Trivia Game at any time during its Play Period. You will then be asked a series of multiple-choice trivia and survey questions about that Primetime Show and the commercial advertising that aired during its broadcast. The number of questions in each TV Trivia Game may vary, depending on the length of the Primetime Show covered. The content of the questions and multiple-choice answers of a TV Trivia Game for any particular Primetime Show may vary from Member to Member. Use your mouse to click on the answer you wish to submit. For each correct answer you submit for a question about a Primetime Show, you will receive 100 TV Points. If you answer the first commercial advertising question correctly, you will receive 100 TV Points and advance to the Bonus Round. For each correct answer you submit for a question in the Bonus Round, you will receive 100 TV Points. TV Points will not be deducted for incorrect answers. In order to complete a TV Trivia Game, you must answer all questions in sequential order. All submitted answers are final. After you have finished playing, the amount of TV Points you earned will be displayed and automatically credited to your Account.

TV Points are only credited to a Member's Account for completed TV Trivia Games. In the event that you are disconnected from the Site or leave before finishing a TV Trivia Game, your RewardTV Game and any TV Points awarded will be saved; however, your TV Points will not be credited to your Account until you have finished the TV Trivia Game. You may complete the TV Trivia Game at any time during the Play Period for that TV Trivia Game. However, if you do not complete the TV Trivia Game within the applicable Play Period, you will not get credit for any TV Points awarded for that TV Trivia Game. If you experience an error playing the Flash version of a TV Trivia Game, you must switch to the HTML version of that TV Trivia Game to complete it. TV Points will not be credited for a TV Trivia Game left uncompleted due to errors experienced in the Flash version. If you attempt to begin a second TV Trivia Game before completing a first TV Trivia Game, you will be prompted to either "Continue" or "Quit" the first TV Trivia Game before beginning the second. If you click on the "Quit" button, the first TV Trivia Game will be closed and you will not get credit for any TV Points awarded for that first TV Trivia Game. TV Trivia Games that you quit before completing will count against the 5 game limit.

A TV Trivia Game can only be completed once, using either the Flash or HTML version of that TV Trivia Game or a combination of the two. Any attempt by a person to play a TV Trivia Game more than once or to enter more than once in one day using multiple email addresses may result in disqualification at the discretion of RewardTV, and any TV Points earned in such attempts will be forfeited.

In the event that an error in the Flash version of any TV Trivia Game results in the incorrect awarding of TV Points to a Member's Account, RewardTV reserves the right to determine in its sole discretion the final number of TV Points to be awarded to that Member for that TV Trivia Game.

TV Trivia Game answers will be deemed made by the authorized Account holder of the email address submitted at time of sign-in. In the event of a dispute, a Member must provide RewardTV with satisfactory proof that he/she is the authorized Account holder of the email address associated with the TV Trivia Game answers in question.

RewardTV reserves the right to determine in its sole discretion the correctness of all TV Trivia Game questions and answers. All such challenges will be handled on a case-by-case basis. If you believe RewardTV has posted an incorrect question or answer or incorrectly credited your Account, please contact us immediately by our Member Services page, or by postal mail to RewardTV, P.O. Box 358, New York, NY, 10010.

RewardTV, in its sole discretion, reserves the right to terminate the Account of any Member who is found to be engaging in fraud or misconduct in conjunction with the Site or any TV Trivia Gams including, but not limited to, the exchange or publishing of questions and answers to TV Trivia Games on message boards, in newsgroups or in any other public or private forum, or via e-mail or any other form of written or verbal communication (see "Fraud & Termination of Membership" in the Membership Agreement). RewardTV, in its sole discretion, reserves the right to void any TV Points earned by, and require the return of any or all Rewards redeemed or Prizes won by, any Member found to be engaging in such fraud or misconduct.

The use of machines, computers, software, scripts, or any other automated system to participate in the Program or play a TV Trivia Game is strictly prohibited. Members are similarly restricted from participating in the Program or playing a TV Trivia Game with more than one type, version or copy of a browsing software application at any one time. Members found engaging in such improper or fraudulent conduct on the Site, tampering with or abusing any aspect of the Program, any TV Trivia Game, or falsifying information required during registration or completion of a Redemption Request Form or any requested affidavits, as solely determined by RewardTV, will have their Accounts terminated.

Members suspected of engaging in any of the above activity will receive a single email message ("Revocation") advising such Member of RewardTV's decision to cancel their Account. A Revocation will result in the Member's permanent disqualification from the Program and any and all future promotions on the Site, the forfeiture of any TV Points held in their Account, and the return of any Rewards redeemed or Prizes won as a result of such improper conduct.

CAUTION: ANY ATTEMPT BY A PERSON TO DELIBERATELY DAMAGE THE SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROGRAM MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, REWARDTV RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

Promotions ("RTV Extras") other than RewardTV Games may be provided to Members from time to time and for a limited time only either on the Site or by email. RTV Extras include, but are not limited to, optional surveys, quizzes and the "Sign Up a Friend" program. In order to complete an RTV Extra, you must answer all questions in sequential order. All submitted answers are final. After you have completed an RTV Extra, the amount of TV Points you have earned will be automatically credited to your Account. bonus TV Points are only awarded for completed RTV Extras. Surveys and quizzes offered as RTV Extras can only be completed once. Any attempt by a person to complete an RTV Extra more than once or to enter more than once in one day using multiple email addresses may result in disqualification at the discretion of the RewardTV, and any additional TV Points earned in such attempts will be forfeited.

SIGN UP A FRIEND: Limit: Twenty (20) "Sign Up a Friend" email invitations total per Member. To invite a friend to become a Member, click on the "Sign Up a Friend" button. Fill in the names and valid email addresses of up to five (5) friends or family members (13 years of age or older) per day and click on "Submit." Any valid email address submitted to the "Sign Up a Friend" program will be automatically sent a one-time email invitation to become a Member on behalf of the referrer. For each unique, valid and eligible person you refer who becomes a Member within 30 days of receipt of the email invitation and plays at least one (1) game per week for two weeks, a bonus of 2500 TV Points will be credited to your Account. The supplied email address will be used for the purposes of the "Sign Up a Friend" program only. Invalid referrals (email addresses that are undeliverable or temporarily unavailable), fraudulent use (including, but not limited to, the registration of multiple Accounts by the referrer for a single person under different email addresses), or abuse (including, but not limited to, the sending of email invitations to individuals who are not friends or family members of the referrer) may result in membership termination at the discretion of the RewardTV and/or any TV Points earned by such use will be forfeited. If any individual is referred by more than one Member, the 2500 TV Points will be credited to the Member whose referral was received first.

TV Points in your Account may be redeemed only for available products and/or services ("Rewards") listed in the Rewards Catalog ("Rewards Catalog") on the Site, provided that your Account contains the minimum number of TV Points required for redemption of the requested Reward. Redemption requests can be made only on the Site. REWARDS ARE AVAILABLE FOR REDEMPTION IN LIMITED QUANTITIES AND ON A FIRST COME, FIRST SERVE BASIS. REDEMPTION ITEMS WILL BE REMOVED FROM THE REWARDS CATALOG AS THEIR AVAILABLE SUPPLY IS EXHAUSTED. REWARDTV IS NOT RESPONSIBLE FOR, AND MAKES NO GUARANTEE ABOUT, THE AVAILABILITY OF ANY REWARD AT ANY GIVEN TIME INCLUDING BUT NOT LIMITED TO REWARDS LISTED IN THE REWARDS CATALOG OR IN PRINTED OR OTHER PROMOTIONAL MATERIAL DESCRIBING THE PROGRAM.

To redeem a Prize Entry, go to http://www.rewardtv.com and sign in using your email address and password. The current number of TV Points available for redemption in your Account will be listed next to "Account Balance." Click on the "Rewards" button to view the Rewards Catalog. Click on any Reward to read a detailed description of the item, any rules and restrictions which may apply to its fulfillment, and the number of TV Points required for its redemption. Once you have selected a Reward, click on the "Redeem" button next to the item (a "Redemption Request"). You, or, at the sole discretion of RewardTV, your parent or legal guardian if you are under the age of 18, will then be asked to complete an online Redemption Request Form specifying the address to which you would like the Reward to be shipped. This data must be accurate as it will be used for the fulfillment of the Reward you are requesting. If the Redemption Request Form is not completed within twenty-four (24) hours of making a Redemption Request, you will forfeit your redemption of that Reward. Upon completion and submission of the Redemption Request Form, the designated number of TV Points will be automatically deducted from your Account. You, or, at the sole discretion of RewardTV, your parent or legal guardian if you are under the age of 18, may also be required to complete and execute an affidavit of eligibility and liability/publicity release within fourteen (14) days of a Redemption Request. Failure to complete and execute the affidavit of eligibility and liability/publicity release within 14 days of a Redemption Request, will result in forfeiture of your redemption of that Reward, and any TV Points deducted from your Account to redeem the Reward will be credited back to your account. All redemptions are final.

All Rewards will be fulfilled within approximately 10-12 weeks from submission of the Redemption Request Form (or the affidavit of eligibility and liability/publicity release, if applicable), unless otherwise specified in the rules and restrictions listed in the Rewards Catalog for a particular Reward. ANY REWARDS TO BE FULFILLED TO MEMBERS UNDER THE AGE OF 18 MAY BE, AT THE SOLE DISCRETION OF REWARDTV, FULFILLED IN THE NAME OF THE MEMBER'S PARENT OR LEGAL GUARDIAN. REWARDTV DOES NOT GUARANTEE FULFILLMENT WITHIN THE ESTIMATED TIME AND IS NOT LIABLE FOR ANY FAILURE TO FULFILL A REWARD WITHIN THE ESTIMATED TIME.

REWARDTV IS NOT RESPONSIBLE FOR CHANGES TO, OR DISCONTINUANCE OF, ANY REWARD OR THE WITHDRAWAL OF ANY THIRD-PARTY REWARD VENDOR ("VENDOR") FROM THE SITE, OR FOR ANY EFFECT ON OR DEVALUATION OF REWARDS CAUSED BY SUCH CHANGE, DISCONTINUANCE, OR WITHDRAWAL.

ALL REWARDS ARE PROVIDED SOLELY BY VENDORS. REWARDTV MAKES NO REPRESENTATION OR WARRANTY IN ANY RESPECT IN CONNECTION WITH ANY REWARD. A VENDOR MAY SUBSTITUTE A REWARD WITH A DIFFERENT REWARD OF EQUAL OR GREATER VALUE. YOU MUST COMPLY WITH VENDOR PROCEDURES ON ALL REWARD RETURNS OR EXCHANGES. REWARDS ARE NOT TRANSFERABLE OR SUBSTITUTABLE FOR CASH OR TV POINTS.

ALL RULES AND RESTRICTIONS REGARDING USE AND REDEMPTION OF ANY REWARD AS SPECIFIED IN THE REWARDS CATALOG, OR ON THE REWARD ITSELF SHALL APPLY.

Redemption of a Reward constitutes permission for RewardTV and its affiliates to use Member's name and likeness solely for advertising and promotional purposes as RewardTV so determines without notice or further compensation, except where prohibited by law.

To view your Account, go to http://www.rewardtv.com and sign in using your email address and password. The current number of TV Points Available will be displayed in your Account. To view your Account history, click on the "View all My Activity" or "View TV Points Earned." To edit your Account profile, click on the "Edit Profile" button at the bottom of the page. It is your responsibility to regularly check your Account to ensure that TV Points transfers have been properly credited and that your account balance is accurate.

REWARDTV IS UNDER NO OBLIGATION TO CREDIT AN ACCOUNT WITH TV POINTS THAT MAY HAVE BEEN LOST OR FORFEITED DUE TO CIRCUMSTANCES INCLUDING, BUT NOT LIMITED TO, SOFTWARE MALFUNCTIONS, RE-REGISTRATION, BREACH OF SECURITY, FRAUD OR INADVERTENT ENTRY INTO A REWARDTV SWEEPSTAKES. REWARDTV'S DECISIONS ON ALL MATTERS RELATING TO YOUR ACCOUNT SHALL BE FINAL AND BINDING IN ALL RESPECTS.

IN THE EVENT ANY TV TRIVIA GAME IS COMPROMISED BY VIRUS, BUGS, NON-AUTHORIZED HUMAN INTERVENTION OR OTHER CAUSES BEYOND THE CONTROL OF REWARDTV WHICH, IN THE SOLE OPINION OF REWARDTV, CORRUPT, OR IMPAIR THE ADMINISTRATION, SECURITY, FAIRNESS OR PROPER PLAY OF SUCH TV TRIVIA GAME, REWARDTV RESERVES THE RIGHT AT ITS SOLE DISCRETION TO SUSPEND OR TERMINATE SUCH TV TRIVIA GAME.

REWARDTV IS NOT RESPONSIBLE FOR ANY TYPOGRAPHICAL OR OTHER ERROR IN THE PRINTING OR DESCRIPTION OF ANY TV TRIVIA GAME, ADMINISTRATION OF THE PROGRAM OR THE AVAILABILITY OR REDEMPTION OF REWARDS.

All federal, state, local, and other taxes on a Reward are the sole responsibility of the Member who redeems that Reward.
